            This legal notice applies to your use of this Site and all proprietary material available through this Internet site, www.ShawResources.com, hereafter referred to as “this Site.”

Acceptance of Terms.  Your use of this Site is solely for your own individual limited use or for use under a master license with your employer, governmental entity or non profit organization, and not for any resale, sublicensing, application or use in any other capacity. The services that Shaw Resources ("Shaw Resources") provides to you on this web site (“Site”) are subject to both the Agreement for Terms of Use between Shaw Resources and your employer, contractor, administrator and/or master licensee as well as the following terms of use (“Terms”).  Shaw Resources reserves the right to update these Terms at any time without prior notice to you.  The most current version of the Terms can be reviewed by clicking on the “Terms of Use” hypertext link located at the bottom of the Web page.  By using this Site, you hereby acknowledge acceptance of these Terms.

Description of Services.  Through this Site, Shaw Resources provides you with access to a variety of proprietary resources, including “Scorebook Navigator™”, tools and product information (collectively “Services”).  The Services, including any updates, enhancements, new features, and/or additions are subject to the Terms.

If any Services are provided that requires you to open an account, you must first complete a registration process by providing Shaw Resources with current, complete and accurate information as prompted by the applicable registration form.  You also will choose a password and a user name, which you are entirely responsible for maintaining the confidentiality of.  Additionally, you are responsible for all activities that occur under your account. You agree to notify Shaw Resources immediately of any unauthorized use of your account or any other breach of security.  Shaw Resources will not be liable for any loss that you may incur as a result of someone else’s using Your password or account, either with or without your knowledge.  You may also be held liable for losses incurred by Shaw Resources or another party due to someone else using your account or password.  You may not use anyone else’s account at any time, without the permission of the account holder.

Intellectual Property. Unless otherwise noted, product names, designs, logos, titles, text, images, audio and video within this Site, and any trademarks, service marks, trade names, copyrights, trade secrets or other property and any derivatives thereof are the property of Shaw Resources, including “Scorebook Navigator™”, (collectively “Shaw Resources’ Intellectual Property”).  All other unregistered, registered trademarks or noted copyrights are the property of their respective owners.  Nothing contained on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Shaw Resources’ Intellectual Property displayed on this Site without the written permission of Shaw Resources.

Use of this Site.  Shaw Resources maintains this Site for your personal information, education, and communication.  Please feel free to browse this Site.  You may download material displayed on this Site for non-commercial, personal use only, provided you also retain all copyright and other proprietary notices contained on the materials.  You may not, however, distribute, modify, transmit, re-use, re-post, or use the content of this Site for public or commercial purposes, including the text, images, audio and video without Shaw Resources’ written permission.

Unaffiliated Products and Sites.  Descriptions of, or references to, products, publications or sites not owned by Shaw Resources or its affiliates do not imply endorsement of that product, publication or site.  Shaw Resources has not reviewed all material linked to this Site and is not responsible for the content of any such material.  Your linking to any other sites is at your own risk. 

Communications with this Site.  You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.  Shaw Resources will fully cooperate with any law enforcement authorities or court order requesting or directing Shaw Resources to disclose the identity of or help identify or locate anyone posting any such information or materials.

United States Governing Law.       This Site was developed in the U.S. in accordance with and shall be governed by the laws of the State of Washington, U.S.A. with any legal action regarding the site brought only in the appropriate court in King County, Washington.  The prevailing party shall receive all costs and attorneys’ fees. Notwithstanding the foregoing, this Site may be viewed internationally and may contain references to products or services not available in all countries.  References to a particular product or service do not imply that Shaw Resources intends to make such products or services available in such countries.
